The arbitration shall be conducted by a single arbitrator appointed by agreement of the parties or, failing agreement, by the Chartered Institute of Arbitrators. The arbitration shall take place in the United Kingdom, and the language of the arbitration shall be English.

Jurisdiction

Notwithstanding the foregoing, either party may seek injunctive relief or other equitable remedies in any court of competent jurisdiction. You agree that the courts of England and Wales shall have exclusive jurisdiction to hear and determine any suit, action, or proceedings and to settle any disputes which may arise out of or in connection with these Terms of Use, and for such purposes you irrevocably submit to the jurisdiction of such courts.

Applicable Law

These Terms of Use, their subject matter, and their formation (and any non-contractual disputes or claims) are governed by English law. You and we both agree that the courts of England and Wales will have exclusive jurisdiction except that if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are resident of Scotland, you may also bring proceedings in Scotland.

If any provision of these Terms of Use is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be replaced by a valid, legal, and enforceable provision that comes closest to the intention underlying the invalid, illegal, or unenforceable provision.
